Standard Terms & Conditions
To the extent permitted by law each of the following terms and conditions shall form part of this quotation and part of any contract arising here from unless specific provision to the contrary is made in the body of the quotation.

  1. Quotation and Acceptance
    1.1. Quotations are valid for 14 days only and, on the expiration of 14 days from the date thereof, will automatically lapse.
    1.2. All prices quoted will remain firm for a period of thirty (30) days from the date of acceptance of the quotation and thereafter may be varied in the absolute discretion of Secure People.
  2. Documentation
    Our offer is based on measurements taken from the documentation provided at time of tender. Should there be discrepancies in the contract documentation then these changes will be subject to price variation.
  3. Delivery Time
    Any delivery date or completion date specified in the quotation is a bona fide estimate only and Secure People does not accept liability for delays in delivery arising from any cause whatsoever. Failure by Secure People to meet delivery date shall not enable the Customer to terminate this contract.
  4. Payment
    4.1. Unless otherwise agreed expressly in writing payment shall be on the Due Date, as hereinafter defined.
    4.2. The Buyer agrees to pay to Secure People interest at the rate of 5% per month calculated on a monthly basis on amounts not paid after the Due Date, such interest charge shall commence on the Due Date and continue until the amount is paid.
  5. Access
    This offer is based on the condition that the whole of the work would be carried out as one continuous project devoid of delay in the provision of goods, materials, areas, services or structures, the provision of which is the responsibility of others.
  6. Fire Seals
    No allowance has been made for the sealing of fire rated penetrations.
  7. Equipment By Others
    Items of plant or equipment, noted within the specification as being supplied and/or installed by others, would need to be complete, assembled, tested and ready for immediate installation and service without the need for modification or assembly by our personnel.
  8. Accommodation
    We have assumed that space required for storage and site accommodation will be provided free of charge in a secure environment.
  9. Painting
    All painting of surfaces, trays, conduits and duct is excluded from our offer.
  10. Lifting
    All cranage and lifting of equipment is excluded from our offer.
  11. Asbestos
    We have assumed that the site is free from asbestos. However, should asbestos be encountered, we reserve the right to claim any costs incurred due to the asbestos discovery.
  12. Excavation
    If required and included in our tender then we have included for excavation in all material other than rock and shale, but exclude excess spoil removal and landscape replacement. Should rock or reef be encountered during excavation, and this rock or reef cannot be removed by a standard backhoe, then an additional charge will be applicable.
  13. Ceiling Penetrations
    All apertures and ceiling support systems for security cameras and other equipment are to be provided by others.
  14. Fire Alarm and AS1668 Connection
    All wiring and associated connection costs required to connect to the FIP is excluded from our offer.
  15. Lift Works and Trailing Cables
    We have not allowed for the connection to the lift or any works within the lift shaft. Any works within the lift car require supervision by authorised representatives of the lift company. We have assumed all lift trailing cables are by others.
  16. Property Rights
    16.1. The risk in the Security System purchased shall unless otherwise agreed in writing pass to the Customer on delivery to the Customer or to the Customer’s agent or to a carrier commissioned by the Customer.
    16.2. Property in each unit of the Security System purchased shall pass to the Customer when full payment has been received by Secure People. The Customer acknowledges that the goods are held as bailee of Secure People until full payment is received.
    16.3. All equipment & products remain the property of Secure People until final invoice paid in full.
  17. GST
    Prices appearing hereon are net and exclusive of all taxes, State and Federal (GST), except where expressly included.
  18. Due Date
    Due Date means the installation date nominated by Secure People.
  19. Extension of time
    We reserve the right to claim extensions to our agreed delivery or completion times on the following grounds
    • Inclement weather
    • Errors or omissions in the client design documentation.
    • Changes in the scope of work either additional or deducted where they have an effect on the program
  20. Force Majeure
    Deliveries may be totally or partially suspended by Secure People during any period in which Secure People may be prevented or hindered from delivering by Secure People’s normal means of delivering by normal route through any circumstances outside its reasonable control, including but not limited to strike, lockouts, raw material shortages, accidents or breakdowns of plant or machinery.
  21. Future Dealing
    Notwithstanding any terms appearing in documentation provided by or on behalf of the Customer the terms appearing herein shall be incorporated by implication into all agreements by Secure People to supply the Customer with the Security System.
  22. Liquidated Damages
    These damages will be limited to a maximum of five percent (5%) of our Contract Value excluding prime costs, provisional and contingency sums.
  23. Governing Law
    This Agreement shall be construed in accordance with and be governed by the laws in force in the State of NSW and the parties hereby submit to the jurisdiction of the Courts of that State for the resolution of any disputes under this Agreement.
  24. Covid 19 Policy
    Secure People comply with Work, Health and Safety laws and ensure all employees are aware of the associated risks, and do what is reasonably practicable to eliminate those risks, or control measure where this is not reasonably practicable.
  25. Project Lead Time
    Will commence site works six to eight weeks from receipt of an official company order in writing and deposit, whichever is later. Large projects, inclement weather, or drawing approvals may affect product or installation lead times.
  26. Limited Warranty
    26.1. Defect Liability Period (DLP) & Warranty Coverage
    Secure People Pty Ltd provides a Defect Liability Period (DLP) of 52 weeks (12 months) from the date of completion of the contracted work. This coverage applies to defects arising from workmanship, materials, and equipment supplied and installed by Secure People Pty Ltd.
    26.1.1. Materials vs. Labour  Coverage                                                                                                                                               •Materials and equipment supplied under this contract are covered for 12 months from the date of completion.
    • Labour attendance, including callouts and site visits, is not covered at any stage, including during the Defect Liability Period.
    • If attendance is required to investigate, rectify, or assess a defect, call-out fees, travel, and labour charges will apply, unless the cause is determined to be a fault in workmanship by Secure People Pty Ltd.
    26.2. Exclusions & Limitations
    Secure People Pty Ltd shall not be responsible for any repairs or replacements required due to the following factors:
    26.2.1. Labour Attendance Charges
    • Any onsite callout, troubleshooting, or rectification work will be chargeable, even during the DLP, unless the defect is confirmed to be a result of workmanship.
    26.2.2. Negligence or Accidental Damage
    • Any damage resulting from improper handling, misuse, abuse, or neglect by any party.
    • Accidents, impact, excessive moisture, heat, or environmental conditions beyond the product’s specifications.
    26.2.3. Unauthorised Modifications or Alterations
    • Changes, modifications, or alterations made to hardware or software by unauthorised persons.
    • Tampering with security seals, serial numbers, or identifying labels.
    26.2.4. Unsuitable Operating Conditions
    • Installation or usage in an environment not in accordance with product specifications (e.g., excessive dust, humidity, temperature fluctuations, and power surges).
    26.2.5. Improper Maintenance
    • Failure to follow manufacturer-recommended maintenance and servicing schedules.
    • Use of unauthorised cleaning agents, accessories, or incompatible components.
    26.2.6. Non-Compliance with Operational Guidelines
    • Failures due to operation outside intended use or failure to follow user manuals.
    • Overloading or excessive strain beyond the product’s rated capacity.
    26.2.7. Third-Party Interference or External Products
    • Failures caused by products, parts, or accessories not supplied or installed by Secure People Pty Ltd.
    • Damage caused by third-party repairs, servicing, or modifications.
    26.3. Additional Warranty Terms
    • This warranty applies only to the original installation location and is non-transferable.
    • Any claim under this warranty must be reported in writing within the defect liability period.
    • Secure People Pty Ltd reserves the right to inspect and verify defects before approving warranty claims.
    • Repairs or replacements provided under this warranty do not extend or reset the original warranty period.
    • Any onsite attendance by Secure People Pty Ltd, even for a covered defect, will incur charges unless the issue is determined to be a result of workmanship.

NOTE:
The Customer WARRANTS AND CONFIRMS that Secure People HEREBY EXTENDS and shall only be liable to extend to the Customer the benefit of such conditions/representations and warranties in respect of the products the Security System and the products included in such system and Services as are set out in this Agreement and as are implied in this Agreement in favour of the Customer by such of the provisions of the Australian Trade Practices Act 1974 (hereinafter called “the Act”) and by the provisions of any other applicable law of Australia and of the several States of Australia and that are provided by the Act and by the provisions of any such applicable law to be incapable of exclusion from this Deed or restriction or modification by Secure People and SAVE as aforesaid the Customer shall have no right or claim against Secure People in respect of the goods or services arising out of this Agreement or any representation claim or statement made in relation to the goods or services supplied under this Agreement.

The Customer HEREBY EXPRESSLY acknowledges that in the event that this Agreement constitutes a supply of products or services to a consumer as defined in the Act (as amended) nothing contained in this Agreement excludes restricts or modifies in relation to this Agreement and the products and/or services to be supplied hereunder any condition warranty right or remedy pursuant to the Act applies to this Agreement or is conferred on the Customer PROVIDED THAT to the extent that the said Act permits Secure People to limit the liability of Secure People for a breach of a condition or warranty implied by the Act then Secure People’s liability for such breach including any consequential loss which the Customer sustain or incur shall be limited to:

(i) the replacement of the products or the supply of equivalent products or the payment of the costs of replacing the products or acquiring equivalent products;

(ii) the repair of the products or the payment of the cost of having the products repaired.

SUBJECT to the foregoing acknowledgment all conditions and warranties which would or might otherwise be implied in the Agreement are HEREBY EXCLUDED AND NEGATED to the extent permitted by law and the Customer acknowledges that the foregoing facts have been brought to the Customer’s attention.
